TRAK Commercial LP is a commercial real estate development company focused on industrial infrastructure projects, including energy terminal development, data center sites, and logistics facilities in the Texas Gulf Coast region.

These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@ameritank.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or we may proceed to formal dispute resolution.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Houston, Texas, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND WE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Ameritank LLC or TRAK Commercial LP.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Ameritank LLC or TRAK Commercial LP.
You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, epidemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us. You do not have any authority to bind us in any respect.
The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
These Terms shall remain in full force and effect while you use the Site.
We may, in our sole discretion, terminate or suspend your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site will immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
